Non-Disclosure Agreement

NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into between Green Vision Technical Services ("Company") and you ("Employee/Contractor/User") as a condition of accessing the AgriPeople™ platform.

1. Confidential Information

You acknowledge that during your access to the Platform, you will be exposed to confidential and proprietary information including but not limited to: source code, database architecture, business logic, customer data, pricing, product formulations, and all AgriPeople™ platform workflows.

2. Non-Disclosure Obligations

You agree to: (a) keep all Confidential Information strictly confidential; (b) not disclose any Confidential Information to any third party without prior written consent; (c) use Confidential Information solely for the purpose of performing your authorised role on the Platform; (d) notify the Company immediately upon becoming aware of any breach.

3. Intellectual Property

All software, code, UI designs, automation flows, and data structures remain the exclusive property of Green Vision Technical Services. You have no right, title, or interest in any Platform IP. Any work product you create in connection with the Platform is a work-made-for-hire belonging to the Company.

4. Prohibited Activities

• Copying, downloading, or reverse-engineering any part of the Platform
• Sharing login credentials or providing Platform access to unauthorised persons
• Using Platform knowledge to assist a competitor in building a similar system
• Exporting bulk data for use outside of your authorised business purpose
• Disclosing customer data, pricing, or product formulations to external parties

5. Post-Termination Obligations

Your obligations of confidentiality continue for 3 years after the termination of your access. You shall not, for a period of 2 years after departure, join any organisation or assist any person in replicating the functionality of the AgriPeople™ platform.

6. Monitoring & Evidence

You acknowledge that all your actions on the Platform are logged in a tamper-evident SHA-256 audit chain. These logs may be used as legal evidence in case of breach. Your IP address, device information, and access timestamps are recorded for every session.

7. Consequences of Breach

Breach of this Agreement will result in: immediate access revocation; civil action for damages; criminal proceedings under the IT Act 2000 and Indian Copyright Act 1957; and recovery of all legal costs.

8. Governing Law

This Agreement is governed by the laws of India. Disputes shall be resolved in the courts of Nashik, Maharashtra.
